ISSUANCE OF AUTHORIZED REPRESENTATIVE (AR) REGISTRATION CERTIFICATE

The Authorized Representative (AR) Registration Certificate is a formal document that designates an individual or entity as an authorized representative. The issuance of an Authorized Representative (AR) registration certificate is governed by key laws. The Securities and Exchange Commission Act, 2021, ensures comprehensive regulations for the securities market, including AR licensing. The Securities and Exchange Ordinance, 1969, establishes foundational rules for registration and conduct. Additionally, the Companies Act, 1994, provides the legal framework for appointing representatives in securities transactions.

  1. Forwarding letter for issuance of Authorized Representative Registration Certificate in the name of the applicant [Original copy]
  2. Duly filled in Form “Kha” [For onward submission to BSEC]
  3. Total Registration Fee amounting to Tk. 1,000/- per Registration Certificate [In favor of Bangladesh Securities and Exchange Commission in the form of P.O/D.D]
  4. Duly signed in notarized Affidavits with Notarial Certificate in original on Non-Judicial Stamp of Tk. 200/- of the applicant [Original copy]
  5. Duly signed in Guarantee & Undertaking in original on Non-Judicial Stamp of Tk. 300/- of the TREC1 Holder company which has employed Authorized Representative [Original copy]
  6. Duly signed in Bio-data along with four copies of recent passport size color photograph [Original copy]
  7. Photocopy of all educational certificates & National ID card of the applicant [Photocopy duly attested]
  8. Declaration stating that the applicant has no Authorized Representative Registration Certificate issued by BSEC earlier [Original copy]
  9. Appointment letter of the applicant issued by TREC Holder company [Photocopy duly attested]
  10. Concern letter issued by TREC Holder company mentioning that the applicant has not been convicted by Dhaka Stock Exchange (DSE) or BSEC or any competent court
  11. Trader Certificate (TC) issued by DSE [Photocopy duly attested]
  12. Deed of Agreement executed between the applicant and the respective TREC Holder company on Non-Judicial Stamp of Tk. 300/- [Original copy]

Step by step all process

Step 1 Collection and Submission of Application: The applicant company collects Form “Kha” from the DSE office and submits it along with the original Pay Order/Bank Draft drawn in favor of BSEC, covering the required fee.

Step 2 Verification and Recommendation: The DSE office verifies the submitted application and recommends the issuance of the AR Registration Certificate to BSEC.

Step 3 Review and Decision: BSEC office receives the application Form “Kha” along with the recommendation from DSE. They review the application and may request additional documents if necessary to enhance credibility.

Step 4 Issuance or Rejection: Based on the submitted documents, BSEC office decides whether to issue the AR Registration Certificate. If approved, BSEC issues the certificate. If the application is rejected, BSEC issues a letter stating the reasons for rejection.

Step by step all process

Step 1 Collection and Submission of Application Forms: Applicant company collects the application Forms “Gha” & “Chha” of BSEC from DSE office. The applicant then submits the complete forms, the original copy of the Authorized Representative (AR) Registration Certificate, and a Pay Order/Bank Draft for the renewal fee to the DSE office. All documents should be forwarded to the BSEC office at least 30 days before the expiration of the certificate’s validity.

Step 2 Verification and Recommendation by DSE Office: DSE office verifies the submitted application, reviews the documents, and provides a recommendation to the BSEC office.

Step 3 Review by BSEC Office: BSEC office receives the application along with the DSE recommendation and any other relevant documents. They may request additional documentation to enhance the credibility of the information.

Step 4 Decision on Renewal: Based on the submitted documents, BSEC office decides whether to renew the Authorized Representative (AR) Registration Certificate. If the application is approved, the certificate is renewed. If rejected, the applicant company receives a rejection letter with the reasons for denial.
